　　承包方（乙方）： 中寰藝高建筑裝飾工程有限公司

　　Contractor (Party B): Zhong Huanyigao Building Decoration Engineering Co. , Ltd

　　根據(jù)《中華人民共和國(guó)合同法》和《建筑安裝工程承包合同條例》及有關(guān)規(guī)定，為明確雙方在施工過(guò)程中的權(quán)利、義務(wù)和經(jīng)濟(jì)責(zé)任，經(jīng)雙方協(xié)商同意簽訂本合同。

　　In order to make definite of the rights, obligations and economic responsibilities of both parties during the construction, the parties, in accordance with The PRC Contract Law and Construction Engineering Contract Regulations and relevant provisions, agree to sign this contract.

　　第一條 工程項(xiàng)目Article 1, Project item

　　第二條施工準(zhǔn)備 Article 2, Preparation for construction

　　1．甲方協(xié)助乙方辦理臨時(shí)水電及垂直運(yùn)輸,提供建筑圖紙及有關(guān)隱蔽障礙物的資料。 Party A shall assists party B to deal with the procedures of temporary hydropower and vertical transportation and provide architectural drawings and documents of relevant concealed obstacles .

　　2．乙方：. Party B:

　?、?負(fù)責(zé)施工區(qū)域的臨時(shí)設(shè)施、水電管線的鋪設(shè)、管理、使用和維修工作；

　　Be responsible for the works of laying, management, use and maintenance of the temporary facilities, water and electricity pipeline in the construction area.

　?、?組織施工管理人員和材料、施工機(jī)械進(jìn)場(chǎng)；

　　Organize construction management staff and construction materials, construction machinery enter the Site.

　　③ 負(fù)責(zé)在裝修期間保持公共地方清潔及每天負(fù)責(zé)將裝物料棄置于由管理處指定的垃圾收集處。

　　第三條工程期限 Article 3 Period of Construction

　　1. 根據(jù)工期和使用需要，商定工程總施工期為 天（日歷天），自年月 日開(kāi)工至年月 日完工

　　2．如遇下列情況，經(jīng)甲方現(xiàn)場(chǎng)代表簽證后，工期相應(yīng)順延：

　?、?按施工準(zhǔn)備規(guī)定，甲方未協(xié)助乙方辦理臨時(shí)水電及垂直運(yùn)輸,影響進(jìn)場(chǎng)施工；

　　According to the requirements of construction preparation, Party A fail tot assist Party B to apply for temporary water and electricity and vertical transportation and have an impact on Party B construction;

　?、?因甲方提出增減項(xiàng)目而造成重大設(shè)計(jì)變更，因而影響進(jìn)度；

　　The material modification or change of design due to the party A’ s requirement of addition or deletion of project have the effect of hindrance on the progress of works.

　　③ 未按合同規(guī)定撥付預(yù)付款、工程款而影響施工；

　　Party A fail to pay the advance payment and construction cost to party B and impact the construction progress;

　?、苋肆Σ豢煽咕艿囊蛩囟诱`工期。

　　The delay of schedule of construction due to Force Majeure.

　　第四條 工程質(zhì)量Article 4 The quality of project

　　一．本工程質(zhì)量經(jīng)雙方研究要求達(dá)到雙方約定之驗(yàn)收標(biāo)準(zhǔn)。

　　The quality of project should achieve the requirements of acceptance agreed by both parties.

　　二．乙方必須嚴(yán)格按照施工圖紙、說(shuō)明文件和國(guó)家頒發(fā)的建筑工程規(guī)范、規(guī)程和標(biāo)準(zhǔn)進(jìn)行施工，并接受甲方的監(jiān)督。

　　Party B should carry on the construction in strict accordance with drawing, specification file and regulations and specifications authorized by the competent authorities and be under the supervision of Party A.

　　三．乙方在施工過(guò)程中必須遵守下列規(guī)定： Party B should, during the construction, comply with the provisions as follows:

　　1．由乙方提供給甲方的所有材料必須經(jīng)甲方同意方可使用，未按要求購(gòu)買(mǎi)嚴(yán)禁使用；All materials provided by Party B should be subject to the approval of Party A prior to use, And none of the same being bought without conformity with Party A requirements can be used.

　　2．隱蔽工程必須經(jīng)甲乙雙方檢查，方可進(jìn)行下一道工序；

　　The concealed works should be checked by both parties before the next progress;

　　3．工程竣工后，乙方按規(guī)定對(duì)工程實(shí)行保修，保修時(shí)間自通過(guò)竣工驗(yàn)收之日算起，保修期一年。

　　Party B shall take the liability of maintenance following the complete of works. The period of maintenance shall be one year from the day of acceptance of complete.

　　第五條 工程價(jià)款的支付與結(jié)算Article 5 Payment and settlement of the contract price 合同總價(jià)× 50 %, 即元 The total contract price × 50%, which is Yuan.

　　中期款The payment of medium-term

　　工程進(jìn)度過(guò)半三日內(nèi) Within 3 (three) days after the progress more than half.

　　合同總價(jià)× 40 %, 即元 The total contract price × 40%, which is Yuan.

　　尾款Final Payment

　　竣工驗(yàn)收結(jié)算后七日內(nèi)Within 7 (seven) days after the completion acceptance and settlement.

　　合同總價(jià)× 10 %, 即 元The total contract price × 10%, which is Yuan.

　　第六條 施工與設(shè)計(jì)變更Article6 The Modification of Construction and Design

　　一．乙方交付的設(shè)計(jì)圖紙、說(shuō)明和有關(guān)技術(shù)資料，作為施工的有效依據(jù)，開(kāi)工前由甲方組織簽字認(rèn)同，作為施工的補(bǔ)充依據(jù)，甲、乙雙方均不得擅自修改。

　　Design drawing, illustration and relevant technical data consigned by party B are the basis for construction and shall be confirmed by party A’s signature, which is deemed as the supplementary basis and shall be modified by any party without authorization.

　　二．施工中如發(fā)現(xiàn)因甲方要求而發(fā)生的設(shè)計(jì)錯(cuò)誤或嚴(yán)重不合理的地方，乙方應(yīng)及時(shí)以書(shū)面形式通知甲方，由甲方及時(shí)會(huì)同乙方等有關(guān)單位研究確定修改意見(jiàn)或變更設(shè)計(jì)文件，乙方按修改或變更的設(shè)計(jì)文件進(jìn)行施工。若發(fā)生增加費(fèi)用（包括返工損失、停工、窩工、人員和機(jī)構(gòu)設(shè)備調(diào)遷、材料構(gòu)配件積壓的實(shí)際損失）由甲方負(fù)責(zé)，并調(diào)整合同造價(jià)。

　　If and when any error or material ueasonable problem of design due to party A’s

　　requirement, Party B shall notify Party A promptly in writing and decide the amendment or modification of the design documentation by the consultation and negotiation between parties and units concerned. Party B shall carry out construction according to the design documents modified or changed. If project cost increase (including the actual loss of rework loss, stoppage or slowdown, personnel and machine equipment relocated,

　　material structures, fixtures backlog), shall be responsibility by Party A, and be adjusted the contract price together with Party B.

　　三．乙方在保證工程質(zhì)量和不降低設(shè)計(jì)標(biāo)準(zhǔn)的前提下，提出修改設(shè)計(jì)、修改工藝的合理化建議，經(jīng)甲方、設(shè)計(jì)單位或有關(guān)技術(shù)部門(mén)同意后采取實(shí)施。

　　Any reasonable suggestion on the modifications of design and craft proposed by Party B, subject to the quality and without reducing standards of design, could be carried out upon the approval of Party A, design unit or concerned technical department.

　　四．甲方如需設(shè)計(jì)變更，必須作出正式修改通知書(shū)和修改圖紙，乙方才予實(shí)施。重大修改和增加造價(jià)時(shí)，必須另行協(xié)商，乙方才予實(shí)施。

　　Party A should, if any necessary design change, make the formal amendment and modify drawings for Party B’s implementation.. Material changes and cost increased must be negotiated by both parties before Party B implement the same.

　　第七條 工程驗(yàn)收Article 7 Acceptance of project

　　一．工程施工中地下工程、結(jié)構(gòu)工程必須具有隱蔽驗(yàn)收簽證、試水、抗?jié)B等驗(yàn)收合格記錄。甲方須及時(shí)辦理驗(yàn)收簽訂手續(xù)。

　　The underground engineering, structural engineering in the construction of project should be checked and with issue of certificate and the record of acceptance of water test, anti-permeability and so on. Party A should deal with the acceptance signed formalities timely.

　　二．工程竣工驗(yàn)收后，甲方才可使用Party A can use the project after completion acceptance

　　在規(guī)定的保修期內(nèi)，凡因施工造成的質(zhì)量缺陷應(yīng)由乙方無(wú)償保修。其保修條件、范圍和期限按城鄉(xiāng)建設(shè)環(huán)境保護(hù)部（84）城建字第79號(hào)通知印發(fā)的《建筑工程保修辦法（試行）》執(zhí)行。

　　第八條 違約責(zé)任Article 8 Liability for breach of contract

　　乙方的責(zé)任：Responsibility of Party B:

　　一．工程質(zhì)量不符合合同規(guī)定的，負(fù)責(zé)無(wú)償修理和返工。

　　Take charge of gratis repair and rework if project quality doesn't meet contact's

　　stipulation

　　二．工程不能按合同規(guī)定的工期交付使用的，按合同中關(guān)于建設(shè)工期提交或拖后的獎(jiǎng)罰規(guī)定償付逾期罰款。

　　If fail to deliver the construction according to the contract on time, The overdue fines according to punishment or award of the provision concerning the delivery or delay.

　　甲方的責(zé)任：The responsibility of Party A:

　　一．未能按照合同的規(guī)定履行自己應(yīng)負(fù)的責(zé)任，除竣工日期得以順延外，還應(yīng)賠償乙方由此造成的實(shí)際損失。

　　二．工程中途停建、緩建或由于設(shè)計(jì)變更以及設(shè)計(jì)錯(cuò)誤造成的返工，應(yīng)采取措施彌補(bǔ)或減少損失。同時(shí)，賠償乙方由此造成的停工、窩工、返工、倒運(yùn)、人員和機(jī)械設(shè)備調(diào)遷、材料和構(gòu)件積壓的實(shí)際損失。

　　The ongoing project is stopped, postponed or due to design changes and rework caused by design errors, should take measures to remedy or reduce losses. At the same time, compensate Party B the actual loss of work stoppage, slowdown, re-dispatch rework, reshipment, staff and mechanical equipment relocating, the backlog of materials and components.

　　第九條 糾紛解決辦法Article 9 Dispute settlement

　　任何一方違反合同規(guī)定，雙方協(xié)商不成，均可向北京仲裁委員會(huì)申請(qǐng)仲裁。

　　Either party could, if any party’s breach and fail to negotiation, submit the application of arbitration to the Beijing Arbitration Committee

　　第十條 附則Article 10 Supplementary

　　一．本合同一式貳份，甲乙雙方各執(zhí)正本一份。

　　This contract is execute in two counterparts, each party holds a single original.

　　二．本合同自雙方代表簽字，加蓋雙方公章或合同專(zhuān)用章即生效。工程竣工驗(yàn)收符合要求，待保修期滿后合同終止。

　　The contract becomes effective after signing and sealing by both parties on this foregoing date. The project final acceptance meet the requirements, after the expiry of warranty, ends the contract.
